This affiliate program agreement ("agreement") aims to define the conditions for participating in the Inawo affiliate program ("affiliate program") and constitutes a legally binding contract with you or the company you represent. By registering, you agree to be bound by this agreement in the event of appointment by Inawo. If you do not agree to be bound by the terms of this agreement, do not proceed with the electronic registration process.
Appointment
Your appointment as an "affiliate" for one or more Inawo services designated to you by an Inawo representative ("designated Inawo service") will be subject to review of the information you provide during registration and will be at Inawo's sole and absolute discretion.
Affiliate Program Eligibility
Participation in the affiliate program is open to individuals, businesses, industry bodies or trade associations.
During the term of this agreement, you may not participate in any other partnership program offered by Inawo without Inawo's prior written consent.
Prospect Registration
Registration for the affiliate program is done on the website

Upon registration, an affiliate code or promo code is provided to you and accessible on your affiliate platform. You may give this promo code to all businesses and individuals you prospect. As soon as they use your promo code to subscribe to one of our offers, they will automatically be registered as customers in your account.
"Inawo Partners" refers to the online hosted application used to track and manage:
- Purchases of designated Inawo services by customers and prospects;
- And the referral commissions you receive under this affiliate program.
"Affiliate code" means a unique tracking code provided to you upon registration.
Referral Commission
You may receive a 25% referral commission on qualified purchases only if:
- The prospect has registered and subscribed to one of our offers;
- The customer is not an existing Inawo customer;
- The customer registers in the same data center as the one in which you are registered as an Affiliate;
- You will not be eligible to receive referral fees for any subsequent purchases made by the customer.
"Qualified Purchase" means, for each Customer, the first purchase of a paid subscription plan of the designated Inawo Service.
"Customer" means a prospect who purchases a paid subscription to a designated Inawo Service.
Payment of Referral Commission
The referral commission will be paid to you based on the subscription plan chosen by the customer.
If the Qualified Purchase is a monthly subscription plan, you will be eligible to receive the referral commission based on the number of months of the Qualified Purchase.
If the customer switches to a free subscription plan, your referral commission will be zero.
If the Qualified Purchase is an annual subscription plan, you may receive referral fees for the entire year.
The referral commission you have earned will only be paid at the end of each month or by the 5th of the following month at the latest. Payment will be made by PayPal, bank transfer or any other method chosen by Inawo at its sole discretion.
You will be responsible for paying all taxes, duties and charges levied on the referral commission, and you shall indemnify, defend and hold Inawo harmless from any liability arising from or relating to the non-payment of applicable taxes, duties and charges.
Affiliate Conduct
You agree to behave responsibly, professionally and appropriately when dealing with potential customers. You also agree not to make any representations or warranties concerning the designated Inawo services to potential customers other than the representations and warranties contained in Inawo's general terms of service. "Inawo General Terms of Use" means the general terms of the software suites at www.inawo.pro. The current version of Inawo's general terms of use is available at

Affiliate Obligations
You must not use the affiliate code to purchase the designated Inawo service for yourself or your employees.
You must clearly indicate on your site or on other channels you use to promote Inawo that this affiliate program is a paid partnership.
You will not reproduce, in whole or in part, any marketing or promotional materials, videos, webinars, case studies, testimonials or user manuals created by Inawo as your own.
Term and Termination
This agreement becomes effective on the date you receive an email from Inawo confirming your appointment as an "affiliate" and continues until terminated by either party in accordance with the provisions of this agreement.
- Termination without cause: Either party may terminate this agreement at any time, for any reason, upon thirty (30) days' notice sent by email to

- Termination for cause: Failure to comply with any of the terms of this agreement may result in a warning or immediate termination of this agreement by Inawo.
- Termination due to affiliate program discontinuation: Inawo reserves the right to discontinue the affiliate program. If Inawo decides to discontinue the affiliate program, you will receive thirty (30) days' notice by email
Effect of Termination
In the event of termination of this agreement without cause by you or for cause by Inawo, Inawo will pay you any referral fees accrued as of the termination date.
In the event of termination of this agreement without cause by Inawo or discontinuation of the affiliate program, you will continue to receive referral fees for all Qualified Purchases (as set forth in the "Payment of Referral Fees" clause) for all customers who switched to a paid subscription plan before the end of the thirty-day notice period.
Unless otherwise specified, termination of this agreement will terminate all rights and responsibilities of both parties set forth in this agreement, in any email communication or on any web page relating to the affiliate program. You must immediately remove all references to Inawo from your website, including any Inawo registration links embedded in your website.
Disclaimer
The affiliate program and the designated Inawo services are provided "as is". Inawo makes no representation and gives no warranty, whether express, implied, statutory or otherwise, regarding the affiliate program or the designated Inawo services. To the extent permitted by law, Inawo disclaims all warranties regarding the affiliate program and the designated Inawo services, including any implied warranties of merchantability, peaceful enjoyment, non-infringement and fitness for a particular purpose. Inawo shall not be liable for any compensation, reimbursement or damages related to the termination of this agreement or your participation in the affiliate program.
Limitation of Liability
INAWO SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION OR LOSS OF BUSINESS INFORMATION ARISING OUT OF THIS AGREEMENT, EVEN IF INAWO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. INAWO'S ENTIRE LIABILITY UNDER THIS AGREEMENT AND THE AFFILIATE PROGRAM SHALL NOT EXCEED THE REFERRAL FEES PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT.
Changes to the Terms of this Agreement
You understand that Inawo may modify the terms of this Agreement from time to time. However, you will be notified of such changes through an announcement or email. After being notified of such changes, you may either terminate this Agreement within fifteen days and cease participating in the Affiliate Program, or accept the changes and continue participating in the Affiliate Program. Your continued participation in the affiliate program after fifteen days from the date of notification of such changes constitutes your consent to such changes.
Embargoed Countries
Various US agencies have established restrictions that regulate or prohibit all trade with certain countries. Inawo does not authorize the sale of subscriptions to designated Inawo services in these countries.
Inawo does not allow any organization, company or individual to have or register Inawo accounts when they are based in these countries:
- Cuba
- Iran
- North Korea
- Syria
- Sudan.

Relationship Between the Parties
The relationship between you and Inawo is non-exclusive. This agreement shall not be construed as creating a partnership, joint venture, agency or any other relationship. You are not authorized to enter into a contract or assume any obligation on behalf of Inawo. Inawo is also not authorized to enter into a contract or assume any obligation on your behalf.
Compliance with Applicable Laws
You must ensure that your activities and the performance of your obligations under this Agreement are and will be in compliance with all applicable laws, including laws, rules and regulations relating to data privacy and security. You agree to provide any reasonable cooperation, assistance and information that Inawo may reasonably request to enable it to comply with its obligations under any applicable law.
Contracting Entity and Choice of Law
If you reside in Benin, your relationship with INAWO SOLUTIONS SARL and this Agreement shall be governed by and construed in all respects by the laws of the Republic of Benin and you agree to submit to the personal jurisdiction of the courts in the Republic of Benin. If you reside in any member state of the African Union, your relationship is with INAWO SOLUTIONS SARL and this Agreement is governed by and construed in all respects by the laws of the Republic of Benin, without reference to conflict of laws principles, and you agree to submit to the personal jurisdiction of the courts of the Republic of Benin.
General
This Agreement constitutes the entire agreement between you and Inawo, and supersedes all prior communications, agreements and understandings. You may not assign this agreement, by operation of law or otherwise, without Inawo's prior written consent. You agree not to register any trademarks that are confusingly similar to those of Inawo. Likewise, you agree not to register or use internet domain names that are confusingly similar to Inawo's trademarks. Inawo's failure to require your strict performance of any provision of this Agreement shall not constitute a waiver of Inawo's right to enforce such provision or any other provision of this Agreement thereafter. If any part of this agreement is held to be invalid or unenforceable, the remainder shall be construed to reasonably respect the intent of both parties.
